1. Acceptance of Terms

By accessing and using the services provided by Just Developer LLC ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of our website, software development services, and related services (collectively, the "Services"). By using our Services, you agree to these Terms.

2. Description of Services

Just Developer LLC provides custom software development services, including but not limited to web application development, mobile application development, cloud solutions, digital transformation consulting, and related technical services.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Obligations

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit any malicious code, viruses, or harmful data through our Services
• Attempt to gain unauthorized access to any portion of our Services or any related systems or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to develop competing products or services

4. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of Just Developer LLC or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Unless otherwise agreed in writing, all custom software developed by Just Developer LLC for a client remains the property of the client upon full payment. However, any pre-existing code, frameworks, libraries, or tools used in the development process remain the property of their respective owners or Just Developer LLC.

5. Payment Terms

Payment terms for our Services will be specified in individual service agreements or project proposals. Generally:

• Payment is due according to the schedule outlined in your project agreement
• Late payments may incur interest charges as specified in the agreement
• We reserve the right to suspend or terminate Services for non-payment
• All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This includes but is not limited to business plans, technical specifications, source code, trade secrets, and customer information.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without breach of confidentiality obligations.

7. Warranties and Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free of viruses or other harmful components

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Just Developer LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.

Our total liability for any claims arising from or related to the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Just Developer LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of another.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Armenia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Yerevan, Armenia.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
